Syllabus:  ENTR 150 ---- Law For The Entrepreneur

Purpose of Course:   The purpose of this course is to survey what entrepreneurs need to know about a number of legal concepts and issues in order to run their businesses effectively. This course provides practical information about how to manage and how to minimize legal risks and challenges that will confront an entrepreneurial enterprise. ENTR 150 covers the rules, protections, and potential liabilities in areas such as contracts, employment laws, choosing the most appropriate form of business organization, and license and registration requirements. The entrepreneur’s awareness and understanding of legal issues and ability to apply the law will allow the enterprise to remain viable as a thriving business.

Components of Final Grade:

40% - Four Tests related to Text Readings and Chapter Checklists and Notes on Additional Law Topics and the SLO's Assessment

32% - Reflection Questions on Selected Chapters and Topics

28% - Forum/Challenges

 Dynamics of Course:

  1. Read each chapter that is assigned. As you are reading the chapter, review the chapter checklist to be sure that you understand the relevant information in the chapter.
  2. Complete and submit the Reflection Questions for selected Chapter.

3.  After finishing the reading of the chapters with the checklist, take the tests as scheduled.

  1. Be sure to participate and complete the Forums dealing with the Legal Challenges that entrepreneurs must deal with.

 

Student Learning Outcomes:

Upon successful completion of this course, students will be able to:

  1. Recognize and discuss initial legal concerns that a new entrepreneur typically faces.
  2. Describe the range of forms of business organizations (proprietorship, general partnership, LLP (limited liability partnership), LLC (limited liability company), corporate options) and how to obtain needed licenses and registrations.
  3. Discuss legal ways of holding personal and real property, the advantages and disadvantages of leasing as compared with owning, and business financing options and taxes to plan for
  4. Describe the key issues involved in selecting and hiring employees in accordance with employment, labor, and immigration law and distinguish the legal differences between employee and independent contractor status.
  5. Determine potential liability for an enterprise regarding negligence, products liability, and other areas of Tort Law and describe common insurance options and protections relevant to engaging in entrepreneurial activities.
  6. Explain how Contract Lawrelates to the sale of goods and the providing of services, with a focus on Article Two of the Uniform Commercial Code(UCC) and the Contract for the International Sale of Goods (CISG), and discuss when each applies and the differences between them, including how other selected Articles of the UCC as well as trademark, patent, and copyright law can be relevant for an entrepreneur.
  7. Describe appropriate exit strategies for a business in terms of applying Federal Bankruptcy Law, the Sarbanes Oxley Act and other legal regulations.

Return of Title IV Funds. If a student leaves the college prior to completing 60% of a term, the Office of Financial Aid recalculates eligibility for Title IV funds. If a student earned less aid than was disbursed, the college would be required to return a portion of the funds. Keep in mind that when Title IV funds are returned, the student borrower may owe a debt balance to the college.
